Terms of Service

1. Acceptance of Terms

By accessing or using Prism ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Prism is a tool that helps teams review GitHub pull requests by filtering boilerplate, grouping changes by intent, and highlighting high-risk logic. The Service requires a GitHub account and operates in connection with GitHub's platform.

3. Your Account

You are responsible for maintaining the security of your account and for all activity that occurs under it. You must provide accurate information when creating an account and keep it up to date.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You may not use the Service to violate any applicable laws, infringe on others' rights, or interfere with the operation of the Service or its infrastructure.

5. Subscriptions and Payment

Certain features of the Service require a paid subscription. Paid plans, pricing, and feature limits are described on our website and in your account billing settings. Subscriptions are purchased and managed at the organization (workspace) level; only organization administrators may start, change, or cancel a paid plan for that workspace.

Where we offer a free trial, its length and eligibility are shown at checkout or on our pricing page (currently a 7-day trial for paid plans). Unless you cancel before the trial ends, your subscription will convert to a paid plan and you will be charged according to the plan you selected.

Paid subscriptions renew automatically at the end of each billing period until cancelled. You authorize us and our payment processor to charge your payment method for recurring fees, applicable taxes, and any other charges described at purchase. Payments are processed by Stripe; subscription and billing management are provided through our authentication and billing partner (Clerk). Your use of those services is also subject to their terms and policies.

We may change plan features or prices from time to time. If we increase the price of your current plan, we will give you reasonable notice before the change takes effect on your next renewal. If you do not agree to a price change, you may cancel before the new price applies.

6. Cancellations and Refunds

You may cancel a paid subscription at any time through your organization billing settings. Cancellation stops future charges; you will retain access to paid features through the end of your current billing period unless we state otherwise at cancellation.

Except where required by applicable law, fees are non-refundable, including for partial billing periods, unused time, or downgrades. If you believe you were charged in error, contact us at support@prismstudio.dev within a reasonable time and we will review the charge.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by us and are protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive license to access and use the Service for your internal business purposes.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

10. Termination

We may suspend or terminate your access to the Service at any time for any reason, including for violation of these terms or non-payment. You may stop using the Service at any time and may cancel any paid subscription as described above. Upon termination of your account, your right to use the Service will cease; if you had a paid subscription, access to paid features ends as described in the cancellation section unless we terminate for cause, in which case we may end access immediately.

11. Changes

We may modify these terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised terms.
